1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the website operated by Marina Bay Capital Advisors Pte. Ltd. (“MBCA”, “we”, “our”, or “us”), a company incorporated in Singapore with UEN 202500083C and having its registered office at #39-00 Marina Bay Financial Centre Tower 2, 10 Marina Boulevard, Singapore 018983. By accessing or using this website (“Site”), you agree to be legally bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must immediately discontinue use of the Site.
2. Regulatory Status and Intended Audience
MBCA provides investment advisory services, the issuance of research reports and corporate finance advisory services. These services are provided exclusively to accredited investors and institutional investors (as defined under the Securities and Futures Act 2001 of Singapore, “SFA”).
MBCA is not licensed or regulated by the Monetary Authority of Singapore (“MAS”) and relies on applicable statutory exemptions under the SFA and the Financial Advisers Act 2001 (“FAA”).
By accessing this Site, you confirm and warrant that you are an accredited or institutional investor and that you are using this Site in compliance with all applicable laws and regulations.
This Site is not intended for, and should not be accessed by, any person who does not qualify as an accredited or institutional investor.
3. No Offer, Solicitation, or Regulated Advice
All content made available on this Site—including investment research, commentary, reports, and analyses—is provided solely for general informational purposes. Such content does not constitute and should not be construed as:

10. Exclusion of Third Party Rights
A person who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any term of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site (including any question regarding the existence, validity, or termination of these Terms) shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Arbitration Rules for the time being in force. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
12. Amendments
MBCA reserves the right to revise these Terms at any time. Any changes will be posted on this page and will take effect immediately upon publication. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

本サイトにアクセスすることにより、お客様は、ご自身が適格投資家または機関投資家であること、および適用されるすべての法令を遵守して本サイトを利用していることを確認し、保証するものとします。
本サイトは、適格投資家または機関投資家に該当しない者を対象としておらず、かかる者は本サイトにアクセスすべきではありません。
3. 申込み、勧誘または規制対象の助言の不存在
本サイトにおいて提供されるすべてのコンテンツ（投資リサーチ、コメント、レポートおよび分析を含みます。）は、一般的な情報提供のみを目的として提供されるものです。かかるコンテンツは、以下のいずれにも該当せず、また以下のいずれとも解釈されるべきではありません。

いかなる場合においても、MBCAのお客様に対する責任の総額は、1,000シンガポールドルを超えないものとします。
本制限は、責任が生じる訴訟原因または法理論のいかんにかかわらず、かつ、救済手段がその本質的な目的を達成できない場合であっても適用されます。
6. 保証の否認
本サイト上のすべてのコンテンツは、明示的、黙示的または法定のいかんを問わず、商品性、特定目的への適合性、正確性または非侵害性に関する保証を含みますがこれらに限られない、いかなる種類の保証もなく、「現状有姿」かつ「提供可能な状態」で提供されます。

10. 第三者の権利の排除
本規約の当事者でない者は、シンガポール2001年契約（第三者の権利）法（Contracts (Rights of Third Parties) Act 2001）に基づき本規約のいかなる条項も執行する権利を有しません。
11. 準拠法および紛争解決
本規約は、抵触法の原則にかかわらず、シンガポール法に準拠し、同法に従って解釈されるものとします。
本規約またはお客様による本サイトの利用に起因しまたは関連して生じるあらゆる紛争、論争または請求（本規約の存在、有効性または終了に関するいかなる問題も含みます。）は、シンガポール国際仲裁センター（Singapore International Arbitration Centre、以下「SIAC」といいます。）に付託され、その時点で有効なSIAC仲裁規則に従いSIACが管理する仲裁により最終的に解決されるものとします。仲裁地はシンガポールとします。仲裁廷は1名の仲裁人により構成されるものとします。仲裁で使用する言語は英語とします。
12. 変更
MBCAは、本規約をいつでも改訂する権利を留保します。変更は本ページに掲載され、掲載と同時に直ちに効力を生じます。変更後にお客様が本サイトの利用を継続した場合、お客様は改訂後の本規約に同意したものとみなされます。
